Terms of Service

Effective Date: March 1, 2026

These Terms of Service (these “Terms”) constitute a legally binding agreement between you and Simple Tax Solutions (“Simple Tax Solutions,” the “Company,” “we,” “our,” or “us”) governing your access to and use of the website located at simpletaxsolutions.com (the “Site”) and the tax consultation, tax preparation, and tax resolution services we provide (collectively, the “Services”).

PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN A BINDING ARBITRATION PROVISION AND CLASS ACTION WAIVER (SECTION 15) THAT AFFECT YOUR LEGAL RIGHTS.

By accessing the Site or engaging the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, do not use the Site or the Services.

1. Eligibility

The Site and the Services are intended for individuals who are at least eighteen (18) years of age and who reside in the United States. By using the Site or the Services, you represent and warrant that you meet these requirements and have the legal capacity to enter into these Terms.

2. The Services

Simple Tax Solutions provides professional services related to tax preparation and tax resolution, including but not limited to:

  • Preparation and filing of current or past-due federal and state tax returns;

  • Assistance with evaluating and resolving IRS or state tax liabilities;

  • Tax consultations and case evaluations; and

  • Communication with tax authorities on your behalf, where you have provided proper written authorization.

The scope of Services for any particular client engagement will be set forth in a separate written service agreement or engagement agreement (a “Service Agreement”) between you and the Company.

In the event of a conflict between these Terms and a Service Agreement, the Service Agreement will control with respect to the Services described in it.

3. No Professional Relationship Until Engagement; No Advice Through the Site

Content on the Site, including articles, calculators, estimates, and general descriptions of tax relief programs, is provided for general informational purposes only and does not constitute tax, legal, accounting, or financial advice.

No professional relationship of any kind is formed between you and the Company, or between you and any enrolled agent, certified public accountant, or attorney associated with the Company, unless and until you execute a Service Agreement and any required authorization forms.

You should not act or refrain from acting on the basis of information on the Site without seeking professional advice specific to your situation.

4. No Guarantee of Outcomes

Tax resolution results depend on numerous factors, including your complete financial situation, your eligibility under applicable federal and state tax laws, your continued compliance with filing and payment obligations, and determinations made solely by the IRS or state tax authorities.

While we strive to obtain the best available result for every client, Simple Tax Solutions does not guarantee any particular outcome, including but not limited to acceptance into any tax relief program, any specific reduction in tax liability, penalty abatement, release of any lien or levy, or any particular processing timeline.

Any estimates of potential savings are illustrative only and are not a promise or prediction of results. Past results obtained for other clients do not guarantee a similar outcome in your case.

5. Client Responsibilities

The Services depend on the accuracy, completeness, and timeliness of the information you provide. You agree to:

  • Provide accurate, complete, and truthful information and documentation, and promptly correct any information that becomes inaccurate;

  • Respond to requests for documents or information in a timely manner;

  • Maintain communication with our team regarding your case, including keeping your contact information current;

  • Remain in compliance with ongoing tax filing and payment obligations during the engagement, as applicable; and

  • Fulfill agreed-upon payment obligations for Services rendered.

You acknowledge that failure to provide necessary documentation, information, or cooperation may delay, impair, or prevent performance of the Services, and that the Company is not responsible for adverse consequences — including additional penalties, interest, or enforcement action by tax authorities — resulting from your failure to meet these responsibilities or from inaccurate or incomplete information you provide.

6. Fees, Payments, and Billing

Fees for Services will be disclosed and agreed upon in your Service Agreement before work begins.

Fee structures may include investigation or discovery fees, flat service fees, and installment payment plans, depending on the Services requested.

You authorize the Company and its payment processors to charge the payment method you provide in accordance with your agreed payment schedule.

If you fail to make a required payment when due, we may, after reasonable notice, suspend work on your case or terminate the engagement in accordance with your Service Agreement.

You are responsible for any fees or costs associated with returned payments or collection efforts to the extent permitted by law. Any refund rights are governed exclusively by the terms of your Service Agreement.

7. Communications; Consent to Be Contacted

By providing your telephone number, email address, or mailing address, you consent to receive communications from the Company regarding your inquiry and the Services by telephone, email, mail, and text message.

Where calls are recorded for quality assurance, training, or compliance purposes, recording occurs only with any notice or consent required by applicable law.

You may manage your communication preferences at any time by contacting us using the information in Section 19.

By providing your mobile phone number and opting in, you agree to receive SMS text messages from Simple Tax Solutions related to the services you requested.

All rights not expressly granted are reserved.

10. Acceptable Use

You agree that you will not:

  • Use the Site or the Services for any unlawful, fraudulent, or deceptive purpose, including providing false information to the Company or to any tax authority;

  • Attempt to gain unauthorized access to any systems, accounts, networks, or data connected to the Site;

  • Interfere with or disrupt the functionality, security, or availability of the Site, including through viruses, malware, scraping, or automated access;

  • Use the Site to infringe the intellectual property or other rights of any third party.

Such links are provided for convenience only.

12. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE AND ALL COMPANY CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY INFORMATION ON THE SITE IS ACCURATE, COMPLETE, OR CURRENT.

NOTHING IN THIS SECTION LIMITS ANY WARRANTY OR OBLIGATION EXPRESSLY SET FORTH IN A SERVICE AGREEMENT OR ANY WARRANTY THAT CANNOT BE DISCLAIMED UNDER APPLICABLE LAW.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

(A) IN NO EVENT SHALL SIMPLE TAX SOLUTIONS OR ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SITE OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND

(B) THE TOTAL AGGREGATE LIABILITY OF THE COMPANY ARISING OUT OF OR RELATING TO THE SITE OR THE SERVICES SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY YOU TO THE COMPANY FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

The Company is not liable for any taxes, penalties, or interest assessed by any tax authority, which remain your sole responsibility.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

14. Indemnification

You agree to indemnify, defend, and hold harmless Simple Tax Solutions and its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or relating to:

  • (a) Your violation of these Terms;

  • (b) Your violation of any applicable law or the rights of any third party; or

  • (c) Any inaccurate, incomplete, or fraudulent information you provide to the Company or to any tax authority.

15. Dispute Resolution; Binding Arbitration; Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS.

Informal Resolution. Before initiating any formal proceeding, you agree to first contact us at the information in Section 19 and attempt in good faith to resolve the dispute informally for at least thirty (30) days.

Binding Arbitration. Except as provided below, any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or the Services shall be resolved by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules.

The arbitration shall be conducted in Orange County, California, or, at your election, by telephone, video conference, or written submissions.

The Federal Arbitration Act governs the interpretation and enforcement of this Section. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

Exceptions. Either party may bring an individual claim in small claims court, and either party may seek injunctive or other equitable relief in court for actual or threatened infringement or misuse of intellectual property or confidential information.

Class Action Waiver. YOU AND THE COMPANY EACH AGREE THAT ANY PROCEEDING SHALL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

If this class action waiver is found unenforceable as to a particular claim, then that claim (and only that claim) shall proceed in court.

Opt-Out. You may opt out of this arbitration provision by sending written notice to the address in Section 19, postmarked within thirty (30) days of first accepting these Terms, stating your name, address, and intent to opt out of arbitration.

Opting out of arbitration will not affect any other provision of these Terms.

16. Governing Law and Venue

These Terms and any dispute arising out of or relating to them shall be governed by the laws of the State of California, without regard to its conflict of laws principles, and by applicable federal law.

Subject to Section 15, any judicial proceeding shall be brought exclusively in the state or federal courts located in Orange County, California, and you consent to the personal jurisdiction of those courts.

17. Termination

We may suspend or terminate your access to the Site at any time for violation of these Terms.

Termination of any Service Agreement is governed by its own terms.

Sections that by their nature should survive termination — including Sections 4, 9, and 12 through 18 — shall survive.

18. General Provisions

Entire Agreement. These Terms, together with the Privacy Policy and any applicable Service Agreement, constitute the entire agreement between you and the Company regarding the Site and supersede all prior understandings on that subject.

Severability. If any provision of these Terms is held invalid or unenforceable, that provision shall be enforced to the maximum extent permissible and the remaining provisions shall remain in full force and effect.

No Waiver. Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.

Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.

Force Majeure. The Company is not liable for any delay or failure to perform resulting from causes beyond its reasonable control, including acts of government, natural disasters, labor disputes, or failures of telecommunications or internet infrastructure.

Changes to These Terms. We reserve the right to modify these Terms at any time. Updates will be posted on this page with a revised effective date, and material changes will be communicated as required by applicable law.

Continued use of the Site or the Services after changes are posted constitutes acceptance of the updated Terms.
